These Terms of Service (the "Terms") govern access to and use of the websites, applications, APIs, and related services provided by SUPERLISTER LIMITED ("Superlister", "we", "us", or "our") (the "Services").

The Services are currently made available for users in the United Kingdom and are intended for business and professional use.

This document is a draft agreement and should be reviewed by legal counsel before publication. Replace bracketed placeholders before use.

2. Acceptance Of These Terms

By creating an account, accessing the Services, or using the Services, you agree to these Terms. If you use the Services on behalf of a company, sole trader business, partnership, or other organisation, you confirm that you have authority to bind that business or organisation, and "you" means that business or organisation.

If you do not agree to these Terms, you must not use the Services.

3. The Services

Superlister provides tools for capturing product information, uploading media, generating listing content, managing marketplace listing workflows, and submitting or updating listings through connected third-party platforms.

We may add, remove, suspend, or modify features from time to time. Some features may be labelled as beta, experimental, preview, or similar and may be less reliable or subject to change.

4. Accounts

You must provide accurate and complete account information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must promptly notify us if you suspect unauthorised access to your account. We are not responsible for losses caused by your failure to protect account credentials.

5. Eligibility

You must be at least 18 years old, based in the United Kingdom, and able to enter into a binding contract to use the Services. The Services are intended for business and professional use only, not personal, household, or consumer use.

6. Subscriptions, Fees, And Payment

Some Services require payment of fees. Fees, billing periods, usage limits, and subscription terms will be shown at sign-up, in an order form, or inside the Services.

Unless stated otherwise:

  • Fees are stated in pounds sterling unless we say otherwise and are exclusive of VAT and other taxes.
  • You authorise us and our payment processors to charge applicable fees using your selected payment method.
  • Subscriptions renew automatically until cancelled.
  • You are responsible for all VAT, taxes, duties, and similar charges, except taxes based on our income.
  • Fees are non-refundable except where required by law or expressly stated in writing.

We may suspend or limit access to paid features if payment is overdue.

7. Your Content

"Your Content" means content, data, images, videos, listing details, files, text, prompts, marketplace information, and other materials that you or your users submit to or create through the Services.

You retain ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display, modify, and use Your Content as necessary to provide, maintain, secure, and improve the Services and as otherwise permitted by these Terms.

You are responsible for Your Content, including its accuracy, legality, quality, and compliance with marketplace rules, UK consumer protection laws, intellectual property laws, advertising standards, product safety rules, and any other applicable requirements.

8. Generated Content And Automation

The Services may use AI, automation, rules, or third-party APIs to generate, classify, transform, verify, or submit listing content. Generated outputs may be inaccurate, incomplete, duplicative, unsuitable, or non-compliant.

You are responsible for reviewing and approving any generated content, marketplace listing, image, description, price, shipping setting, policy selection, item attribute, or submission before relying on it. Superlister does not guarantee that generated content will be accurate, lawful, compliant with UK law, marketplace-compliant, optimised, or error-free.

9. Marketplace And Third-Party Integrations

The Services may allow you to connect third-party accounts, including marketplace, payment, storage, analytics, or communication services. By connecting a third-party service, you authorise us to access, process, retrieve, submit, and update data from that service as needed to provide the Services.

Your use of third-party services is governed by the third party's own terms, policies, fees, limits, and technical requirements. We are not responsible for third-party services, marketplace decisions, listing removals, account restrictions, API outages, policy changes, fees, penalties, or enforcement actions.

You are responsible for maintaining the permissions, credentials, tokens, and account standing required for connected integrations.

10. Acceptable Use

You must not:

  • Use the Services unlawfully or in a way that infringes anyone's rights.
  • Upload or submit content that is fraudulent, misleading, defamatory, obscene, hateful, abusive, or otherwise unlawful.
  • Sell, list, or promote prohibited, restricted, counterfeit, unsafe, stolen, or infringing goods.
  • Interfere with, disrupt, overload, scan, or test the vulnerability of the Services without permission.
  • Reverse engineer, decompile, copy, resell, lease, sublicense, or provide access to the Services except as allowed by us in writing.
  • Bypass usage limits, access controls, security measures, or billing systems.
  • Use bots, scrapers, or automated tools except through APIs or automation features we expressly provide.
  • Submit malware, harmful code, or content designed to damage or interfere with systems or data.
  • Use the Services to train competing models or services without our written permission.

We may suspend or terminate access if we reasonably believe you have violated this section.

11. Intellectual Property

We and our licensors own all rights, title, and interest in the Services, including software, interfaces, workflows, designs, documentation, trademarks, logos, and other intellectual property.

Except for the limited right to use the Services under these Terms, we do not grant you any rights in our intellectual property.

You may provide feedback, suggestions, or ideas about the Services. We may use that feedback without restriction or compensation to you.

12. Confidentiality

Each party may receive non-public information from the other party that is marked confidential or should reasonably be understood to be confidential. Each party will use reasonable care to protect the other's confidential information and will use it only for purposes related to these Terms.

Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, lawfully received from a third party, or required to be disclosed by law.

13. Privacy

Our Privacy Policy explains how we collect, use, and share personal data. By using the Services, you acknowledge our processing of personal data as described in the Privacy Policy.

14. Availability And Support

We aim to provide reliable Services, but we do not guarantee uninterrupted, secure, or error-free operation. The Services may be unavailable due to maintenance, updates, outages, third-party failures, or events outside our control.

Support availability, response times, and service levels are provided only if expressly agreed in writing.

15. Suspension And Termination

You may stop using the Services at any time. You may cancel a subscription through the account settings or by contacting us, subject to the cancellation process applicable to your plan.

We may suspend or terminate your access to the Services if:

  • You breach these Terms.
  • Payment is overdue.
  • Your use creates security, legal, operational, or reputational risk.
  • A third-party integration, marketplace, or legal authority requires or recommends restriction.
  • We discontinue the Services or a material part of them.

After termination, your right to use the Services ends. Sections that by their nature should survive termination will continue to apply, including payment obligations, intellectual property, confidentiality, disclaimers, liability limits, indemnity, and governing law.

16. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, conditions, and representations, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation.

We do not guarantee any sales results, listing performance, marketplace approval, marketplace ranking, account status, compliance outcome, or revenue increase.

17. Limitation Of Liability

Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot legally be excluded.

Subject to the above, to the fullest extent permitted by law:

  • We will not be liable for indirect, consequential, special, incidental, punitive, or exemplary damages.
  • We will not be liable for loss of profit, revenue, business, goodwill, anticipated savings, data, listings, marketplace account standing, or business opportunity.
  • Our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the fees you paid to us for the Services in the 12 months before the event giving rise to liability; or (b) £100.

18. Indemnity

You will indemnify and hold harmless Superlister, its directors, employees, contractors, and affiliates from and against claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable legal fees, arising from:

  • Your Content.
  • Your use of the Services.
  • Your breach of these Terms.
  • Your violation of law or third-party rights.
  • Your marketplace listings, sales, products, transactions, customer communications, or connected third-party accounts.

19. Changes To These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms, sending an email, or displaying an in-product notice.

Your continued use of the Services after changes take effect means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

20. Governing Law And Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services, unless mandatory laws require otherwise.

21. General

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms as part of a merger, acquisition, reorganisation, sale of assets, or by operation of law.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.

These Terms, together with any applicable order form and policies referenced in them, form the entire agreement between you and us regarding the Services.
